This sounds like abad half assed idea to me. The ventilation is the real problem but if there is any mold in that old plywood... it's a wate of time to cover it.
For best quality remove the old plywood and treat the rafters with a fungicidal if necessary. Install new plywood decking and then the roof.
Not only should the seller be shot but also the roofer. I'd turn down a job like this. I'd never slap my name on a job done purposely wrong.
One other thing, the repair is worthless if you don't correct the ventilation. Make sure that bathroom vent is vented to the outside and that the entire roof has adequate ventilation overall!
