We just recently bought a new home with panel in the basement. We want to remove the panel, put up drywall and then install the tounge and groove panel. Is this a wise move with the drywall underneath?

Yes! The drywall provides some fire protection. If its going to be covered you can skip (minimize) the final caot and sanding of the joints. Do tape and mud the joints and nail/screw holes.
