Laminate can be installed over the old tile, but not over the carpeting.
Remove the carpeting. If the old tile stays intact, leave it. If some of the tile comes up with the carpet, floor leveler will even the height of those areas with the remaining tile.
Either way, you should "encapsulate" the entire floor with a primer made specifically for this situation. That will isolate, and seal off the old carpet adhesive, and asbestose tile. Check homecenters and flooring stores in your area for the primer.
Once the carpet is removed, and the remaining surface leveled and sealed, underlayment and laminate can be installed without any problems from the flooring underneath it.
